We kicked off the new year at our firm with the seventh edition of our traditional seminar, Corpo Refresh 2025. Partner and Head of the Corporate Practice, Tomáš Doležil, together with his team, presented an overview of the most important developments in corporate law over the past year and introduced the key legislative changes awaiting us in 2026.

What was covered?

✔️ Shareholders' Agreements in Practice

Attorney Jan Koprnický presented current case law, analysed in detail a case concerning the invalidity of a decision due to a breach of a shareholders' agreement, and highlighted the practical implications for shareholders and statutory bodies.

✔️ Arbitration Clauses Without Risks

Partner and experienced arbitrator Roman Kramařík shared recommendations on how to effectively draft arbitration clauses and which formulations are best avoided. He also presented selected conclusions from the World Atlas of Arbitration, produced by our team.

✔️ Design Protection After the EU Amendment

Attorney Hana Císlerová focused on the new EU rules on the protection of industrial designs, which allow for stronger exclusive rights against product copying across the entire market.

✔️ ESOPs in Practice and Tax Changes

Our guest Richard Jahoda from Grinex introduced current approaches to setting up employee share ownership plans and discussed their tax aspects following recent legislative changes.

✔️ Flexi-Amendment to Labour Law

Senior Attorney Helena Hailichová summarised changes to notice periods, rules governing work during and after parental leave, as well as new measures against illegal work.

✔️ Public Procurement in Motion

Partner Hana Nevřalová highlighted the most significant trends in decision-making practice and the expected revisions of the EU framework, which may substantially reshape current procedures for contracting authorities and suppliers.
